Organization Terms of Service
Version 2026-10-13.v2
1. Registration and authority
These Terms govern Cloud Nations Organization registration, verified legal organization services and associated tools operated by EdgeAlphix LLC. They apply with the Platform Terms of Service. You must be authorized to act for the organization, and its creator must hold an active verified CNID.
A CNO is registered within the Cloud Nations platform. Its name, suffix, filing and Certificate of Organization do not create a government-registered legal entity, separate legal personality, limited liability, a tax classification or a bank account. Using Trust, Foundation, Partnership, Association or another supported suffix does not confer the legal status associated with that word. A verified legal organization must already have the relevant legal existence and complete the required KYB checks.
2. Fees, term and issuance
CNO registration costs $19.99 for five years. Verified legal organization registration costs $49.99 for five years, subject to business and required representative verification. The term begins at confirmed payment. Application fees are non-refundable except where required by law or expressly agreed by us.
CNO approval and CNOID issuance normally proceed automatically after payment and eligibility checks. Risk, unresolved eligibility or a configured review requirement may stop automatic issuance. Legal organization issuance requires the applicable KYB approval. Payment does not guarantee approval. Renewal is manual.
3. Names and amendments
Enter the complete name with a supported terminal suffix for a CNO. The exact approved full name is used on organization records and certificates. Name availability disregards supported suffix variants, letter case and redundant spacing; changing only a suffix does not make an occupied base name available. Availability at entry does not reserve the name until registration succeeds.
You must not use a misleading name, impersonate another organization or infringe naming rights. Platform availability is not trademark clearance or a government name reservation. A name amendment costs $4.99 and may change the name, suffix or both in one request. It is checked again at completion. A successful amendment retains the CNOID and original registration date, records the filing and issues a new credential.
4. Permanent registry and certificates
A CNOID is permanent, immutable and never reassigned. Registration and credential status are renewable and may expire, be suspended or be revoked. A Certificate of Organization records the issued platform registration. A Certificate of Good Standing records the eligible active registration at its issue time; it is not a guarantee of solvency, creditworthiness or legal compliance.
Certificates and filing records are snapshots. Check the current verification record before relying on a credential. Public registry listing, filings, member information and certificate downloads depend on the supported disclosure settings. Publication can reveal historical names and dates; check the public preview before enabling it.
5. Members, officers and governance
Owner, Admin and Member roles determine permissions within Cloud Nations. Officer titles, including President, CEO, Secretary and Treasurer, and board meetings, votes, resolutions and minutes are records maintained by the organization. They do not override the organization's own rules or applicable law.
The Owner is responsible for authorized administrators, registration records, invitations and ownership transfers. Keep representative authority current and remove access that is no longer authorized. Review the recipient before transferring ownership; a transfer changes control of platform records and invalidates associated API keys. A member registry or vote does not independently prove a person's legal authority to bind an entity.
6. Domains, SSO and organization API
Domain verification establishes control of the checked domain at the time of verification. It is distinct from KYB and does not establish ownership of a trademark or legal entity. Organization SSO uses the approved OIDC connection and current registration; application administrators must honor consent, permission changes and revoked access.
Extended identity API access requires manual platform approval for specific fields, purpose, expiry and quota. It is not included merely by registering or verifying an organization. The recipient must use the data only for that purpose, protect it and comply with applicable notice, authorization and retention obligations. Administrators may audit use and revoke access.
7. Noncustodial treasury and signers
Organizations may link supported blockchain addresses and Safe multisignature wallets through control proofs, and associate verified members with signers. The displayed treasury and signer information reflects the checks and on-chain data available at the time; ownership, threshold, balances and signer control can change.
Cloud Nations does not hold private keys, custody funds, sign transactions or undertake investment, banking, fiduciary or trustee duties. The organization and its signers are responsible for transactions, donations, permissions, taxes and compliance. A platform officer appointment does not make that person a wallet signer; a verified signer association does not grant signing power. Review actual on-chain owners and thresholds before acting.
8. Restrictions, disputes and contact
An organization may be restricted for unresolved verification, expired registration, reversed payment, unauthorized representation, naming abuse or misuse of its records, API access or linked wallets. We may request evidence of authority and restrict changes while a genuine control dispute is reviewed.
Platform review does not adjudicate a court dispute, transfer blockchain assets or replace an organization's legal obligations. Mandatory rights and remedies are preserved. Contact [email protected] with the CNOID or application reference for a name dispute, representative change, registration review or billing issue.
